To jump start my investment club I am going to create everything and a few club accounts start voting my daily SPT power on the account so that I can blog vote and all proceeds will go into the SPL Group DBA of Phalanx Trades LLC a 100% owned LLC of bcarolan639. Phalanx Trades LLC from here on out will receive in proportion to 250 dollers for every member for the first 3oo members as each of these members will receive a interest of 1500 in equity which will be transferred in a private sale as this is a investment club treated as a partnership and each member will receive a Schudule K-1 if required and we will take all of the tax savings strategies so that the entity is not generating taxable distributtions to the members for as long as possible but when that day comes it will be a good thing means the fund is eccessivly profitable and cant invest fast enough in vehicles to offset losses like private real estate is one of the types of deals we will be investing heavily in. There will be 3 daily posts to the new SPL Group account I will post a link once its made where your interest in the current club which will act as a initial seed start up round that is being provided by invite only and anyone with 100K plus SPT will be invited. If you have less but can offer a skill needed or want to be invovled in the team of people running this initiative the equity will be treated as compensation and you will also receive a higher allocation that 1500 such as 1500-5000 in equity depending on the value that you bring. Right now we need people who know how to code on the blockchain as well as people who are good at automation of tasks for the group, people who have a finance background as well as economics background I dont care about degrees or any of that I care about what skill you bring to the fund and why you should be considered to get allocated GP equity like myself and the other 3-5 I have made partners based on the fact we have been working on it together in some way before this and I am the founder but they will be considereed co founders as far as it concerns with equity and involvement in the club and will receive pro rata half of the GP bonus allocation from the 1K bank bonus so 250 to divide up between anyone but BC, NK and CP who split 3 ways any etra equity minimum 250 max none. I will be a owner in every share class as my GP shares give me restricted units for sale unlocking over 5 years but still allows me to cast my vote on all units even though not able to sell. I will also receive warrents equal to 5% of the new offering for a price of .0000000001 per unit and convertable debt adding seed units at a 40% discount in return for loan forgiveness. The loan will be a convertable note which is building up now as I vote to give the entity some assets before as a extra bonus so I am forgoing most of my curration income and diverting it to the club and as soon as I create the club account which will be the SPL Capital Investment Group LLC a cayman island LLC that will allow foreign partners as well as provide the proper repporting in such countries as this club will eventually turn into a large fund and be subject to the SEC rules as well as other countries if we take on investors there or do so via some sort of blocker corp but either way I want to make the first few months just based on your vote value when voted of any token on the funding posts which will go up 1/ hour giving everyone a chance to maximize voting on the articles which will explain the unit class you are voting to join as more funds are raised and all the GP positions which are the other people who will benefit the second most from the group. Once we have raised and had enough time to establish profitability we will go for business loans and lines of credit to expand and avoid going to a capital raise with passive members at all costs if we can raise the money outside that using bonuses as that helps the most people and eventually we will do capital raises to have the fund be a GP Enitiy managing the projects and feeder funds we will create for the non equity or members of the gorup that just want to read are blog and all that. We also make money off of them for upvotes we receive as well as are own up voting for the benefit of the fund and its members. Membership is open to all but all except players that have a probven track record need to go through the 1099 program. Proven partners can be voted in as a partner right away.

The goal of this club is to create a new NFT for each share class on Splintertalk which will cost a tiny amount of SPT and must be approved for you to buy as such these tokens will be listed as a post and people can comment and apply that way until we get to the point where people can buy the 1000 in capital when they prove the bonus they get another 500 and moved up to a better share class. Either way it is all free and will make anyone involved money and the more you help out and add value the more money you will earn to from guaranteed payments for special projects etc.

The goal is also to turn it into a guild and club with a home base here but presense on other p2e games and in the metaverse as well where we can run various businesses and create income streams.

This fund should last forever as the income will always re invest 25% in stable coin lp pools to keep the investment engine growing as we only invest earnings in riskyer investments.
