SPS Governance Proposal - Contract Steem Monsters Corp for Ongoing Maintenance and Development
About
The purpose of this proposal is to approve the SPS DAO to enter into a Master Service Agreement with Steem Monsters Corp for the ongoing maintenance and development of the Splinterlands game as well as purchase of all Splinterlands IP.
Proposal
If this proposal passes, the SPS DAO will enter into the following Master Service Agreement with Steem Monsters Corp (The password to open the document is Tezjat-tesgyv-7mejga ):
The SPS DAO will pay $2m per year which is a flat daily rate of $5500 per day for a period of 2 years for ongoing maintenance and development services.
- The DAO Treasurers will make monthly payments in HBD then DEC or other liquid tokens the Treasurers agree on.
- If necessary, the SPS DAO Project Manager will work with the SPS DAO Treasurers to determine which tokens are used for payment. This may include paying in other tokens, such as HIVE, Ethereum or could require burning SPS to create the DEC needed to pay Steem Monsters Corp.
- Steem Monsters Corp will value all tokens at market value at the time of receipt.
- In cases where DEC tokens are used for payments, then the price will be determined on a daily basis. For convenience the DAO may prepay a large amount of DEC tokens, however the daily rate the DEC tokens convert to USDs will be based on the daily rate of DEC/USD for each day.
In return, Steem Monsters Corp will assign full ownership of the Splinterlands Intellectual Property to the SPS DAO. You can review the full agreement here. (Password to open the document is Tezjat-tesgyv-7mejga ):
Steem Monsters Corp will be responsible for developing:
- A new core set.
- A reward card set.
- A miniset.
- Continued development of land features.
- Multiple new game modes and features.
- Other items as requested by the DAO, such as promo cards, card skins, and additional features, subject to available development bandwidth.
Revenue sharing: The SPS DAO will receive 100% of all proceeds from sales within the game's ecosystem until it has recovered its initial investment plus 20%. After that threshold is met, any additional sales proceeds will be split 50/50 between Steem Monsters Corp and the SPS DAO.
The SPS DAO will appoint its current project manager @clayboyn to represent the DAO during the execution of the associated contracts and to work with the company in good faith to ensure all obligations are met by both parties.
Notes
This proposal is designed to align incentives between the SPS DAO and Steem Monsters Corp, ensuring dedicated development resources while also securing IP ownership for the DAO. Potential benefits include accelerated feature releases, enhanced player engagement, IP ownership and long-term revenue potential. The risks may include dependency on Steem Monsters Corp's performance and market fluctuations affecting future sales proceeds.
I am extremely glad to read in the proposal FULL OWNERSHIP of the IP. That was one of the aspect I did not like and I was not willing to accept based on the initial draft. I am for it! Also, I will go through the agreement voluntarily to see if it is sound and if we can eventually improve it for the benefit of both parties.

This is a terrible deal for the DAO. Even if it gets back the full 100% +20%, it will still receive less DEC than it gave out. That's because DEC is being valued at $ instead of peg. Right now DEC is at 50% peg. Assuming a 2 year cycle and given that the only time DEC has been at peg is during and slightly before the pre-sale of a core set, we'll have maybe 1 month of DEC at peg for the 2 years period. Most of the time the DAO will be paying much more DEC than it would if it was at peg. If it was today, it would pay about 11M DEC for the $5.5k. On the other hand, the vast majority of the DEC received from the company will be during those pre-sales where DEC will be at peg (hopefully, otherwise the problems are even worse). So, the DAO will end up with much less DEC/assets than it started.
The Agreement doesn't require that the DAO pay the Company in DEC, nor is there a requirement for the Company to accept DEC for payment for core set packs or anything else, or even for the Company to pay the DAO the sales revenue value in DEC regardless of what forms of payment it decides to accept for anything, so while I can see the issue you mention being possible, it is not inherent in this deal.
I support the agreement generally, but want revisions to the payments section, which, notwithstanding any DEC shenanigans, is written almost entirely to the benefit of the Company. I understand legalese, and here's my quick take on the Agreement:
The summary in this post says the DAO will pay in "HBD then DEC or other liquid tokens": however, that is not what the agreement states. Section 3.2 Form of Payment (a) Approved Payment Tokens:
"Company shall maintain and provide to Client [the DAO] a list of cryptoasset tokens approved for payment..." "The Approve Token List shall be provided to Client concurrently with the execution of this Agreement."
...which means we don't know what tokens will be accepted and won't until the agreement is executed. I would revise that section - the DAO should have that list before signing the agreement. It also says the Company can revise the list at will in the future without limitations or agreement from the DAO - I think the DAO should get some say in that, such as mutual agreement on some tokens (for example, at least 3 mutually acceptable tokens, like SPS, DEC and HBD), how many tokens need to be on the list (the Company could limit it to 1 token the day payment is due as written), and a time restriction, such as must provide a revised list 30 days in advance to coincide with the billing cycle.
At (b) in the same section, it essentially says the Company can refuse payment in the form of tender the DAO pays "for any reason", but it does state at the end of (a) that "Client shall make all payments...solely in tokens appearing on the then-current Approved Token List", so the Company has to accept payment in one of those tokens and can't refuse them all at least, but the DAO does not have any control at all over which particular token the Company will accept as payment - as noted above, the Company could limit the approved list to 1 token at the last moment. The DAO needs some say in that to avoid being victimized by or possibly benefited from token price changes. Lots of ways to possibly revise that section, especially with the other suggestions above, but a ranked order of acceptance of particular tokens, which must include the mutually-agreed tokens whatever they are or a certain number of tokens. There is no reason to give the Company sole discretion over what form of tender it will accept!
Further in Section 3.2, at (e) it lays out that the Company will not suffer at all if the tendered token price falls within 48 hours after payment - the DAO has to make up the difference and pay the shortfall. That section also says if the tendered token price increases, the Company keeps the overpayment. There is no reason to accept that condition. It allows the Company to utilize the absolute control the agreement currently gives it over payment forms to maximize its benefits to the detriment of the DAO. At the very least, if the DAO has to make up a shortfall due to token price falling, the Company should have a reciprocal obligation to convert a token price increase windfall into a credit for the DAO.
The agreement in general I think is a good deal for the Company and for the DAO. There's just no reason to have these payment issues be so one-sided against the DAO. The DAO is sitting on a large pile of assets it doesn't do anything with, and the Company really wants a stable and reliable revenue source and is willing to give up IP and share revenue to get it. Past experience with pack sales has shown that the DAO doesn't lose money on this type of deal, so seems like both sides do benefit. The Company asked for this agreement, and while there is obviously co-dependency here, the DAO is not entirely without leverage. Giving up some of the game revenue (perhaps 10% or 15% instead of 20% over the total DAO contribution recoupment?) could even be something the DAO could use as a sweetener to negotiate some control over payments issues?
I mean, it literally says that HBD will be used first and DEC next. Regardless, most of the DEC received by the DAO will be during pre-sales. There's no reason for the team to pay in anything other than DEC there. They receive DEC, or maybe credits but those are "converted" to DEC. Why would the team not pay in DEC when it is at peg?
Many players wanted to go the opposite direction. Stop this connection between the DAO and the team. Some even wanted the DAO's DEC burned. This proposal goes in the opposite direction.

I know my post was long, but did you not read it? To reiterate, as I said, the announcement post does say HBD will be used first and DEC next, but as I also said, the actual Agreement contains no such statement. The Agreement is what is binding, not the post. The tokens to be used by the DAO to pay the Company are not defined in the Agreement. The tokens the Company will use to pay back the DAO through revenue sharing are not defined in the Agreement. The tokens to be accepted for pack sales are not defined in the Agreement, and the Agreement explicitly states that the Company will pay back the DAO in whatever token it chooses, regardless of what tokens it receives from players as payment for packs (or whatever). All of those variable are under complete control of the Company in the Agreement as written, so yes, the scenario you outline is certainly possible, and yes, I agree, the Company would likely use DEC at peg to remit the revenue share around pack sale time. I have no idea what will be used to pay back the DAO outside of pack sale time, nor do I know where the Company will get the DEC from if it chooses to use DEC (burn SPS I suppose, which would be good?) Regardless of what you or I think, none of this is specified in the Agreement, and these issues should be negotiated rather than accepted as is, since the Agreement as written gives the Company complete control over all of it.
Keep in mind that the Company has to remit the revenue share monthly according to the Agreement - every month for 48 months, all revenue the Company earns until it has returned $4.8 million (and 50% of all revenue after that) is given back to the DAO, so this is not just the Company giving the DAO the DEC it receives from us around pack sale time.
"Stop this connection between the DAO and the team" is just complete nonsense. The DAO and the Company are intimately and irreparably connected with or without this Agreement. Without other actions, DEC will continue its rarely at peg cycle with or without this Agreement. Are there any remaining DEC faucets, other than burning SPS? If not, then more DEC sinks is the only thing that will help it get to and maintain peg, with or without this Agreement.
The Agreement is about giving the Company stable and reliable funding, which it obviously thinks it needs, else it wouldn't be offering this deal. I am not particularly troubled by the risk that the DAO will hold fewer DEC tokens at the end of the Agreement than it does now, if it means we still have a game to enjoy in two years, it is hopefully expanding its player count, SPS price has increased and DEC finds a way to stay near peg all the time. If the alternative is the Company goes bankrupt before then, none of this matters and we all lose - the Company, the DAO and all of us players.
Without the Agreement, and absent significant play count growth, I would expect the pace of new set, mini-set and promo card introductions (and/or anything else they can sell to us) to increase because the Company needs more funding. This is not sustainable. The Company has bills it must pay every month (payroll, rents, utilities, etc.), just like all of us, our employers, or our businesses. The Agreement gives the Company a stable and reliable runway to get stuff done without needing to bleed its players dry to keep the lights on for two years. Hopefully that is enough time to turn things around!
To repeat, negotiate and revise Section 3.2 for fairness to the DAO.
But we're voting on a proposal and the proposal is the post. How is that not binding?
Regardless, not recycling the DAO's DEC would help tremendously DEC reaching peg. I don't think we will ever achieve a point where DEC is always at peg. There's a reason for the past 4+ years we've only managed to do it twice and for a very short time.
I also disagree that doing a bad deal for the DAO makes anything better. If the company can't survive without money from the DAO, we're delaying the inevitable. That money will dry up at some point. And that's not the message that Matt and now Dave has been giving us. They have told us that things are better now than they were at several points in the past.
I don't know what to tell you - we're voting on a pre-proposal regarding an Agreement (for which the current vote is overwhelmingly in favor of). Regardless of whether the pre-proposal presenting it accurately describes the Agreement (it does not!), the Agreement is what will be binding on the Company and the DAO, assuming a final proposal passes (and with whatever the Agreement states at that time when it is signed by both Parties), and it matters not at all what the proposal or pre-proposal presentation posts say about the Agreement. Download and read the Agreement - that is what you are really being asked to vote on.
I will grant you that the "deal" may be bad for the DAO, using your apparent good vs bad criteria of whether the DAO has fewer DEC tokens post-deal (in 2 years) than now. Would it still be a "bad deal" if DEC price stabilizes closer to peg in 2 years? ...if the SPS price is higher in 2 years? ...if we expand the player count in 2 years?
I do think things are better now, and getting better all the time, as the team's messaging is striving for. I see a lot of optimism from the players about the future. I think that giving the Company 2 years of stable and reliable funding makes it more likely we see that future and success. Having the guaranteed revenue every month (because bills have to get paid all the time, not just when pack sales are offered), takes a huge burden off the team's plate and let's them focus on getting stuff done to hopefully create that more successful future. It also decreases the incentive to offer more and more stuff at a faster pace to secure revenue as they go (e.g. constantly bleeding the current players dry to stave off collapse.)
If the Agreement doesn't happen, it's not the immediate end of everything - we will probably see the same smaller set-by-set and promo/reward card DAO funding agreements already being used, and those haven't really hurt the DAO. Things will continue, it will just be harder on the team.

I am for the deal in principle but we do not have enough information to fully understand this proposal yet.
I have read both the legal documents and the MSA is mostly okay but the other one, the licence agreement is far too favourable to SMC.
I would like to read the various appendixes too but have not seen a link to them.
Furthermore, is the DAO actually in a position to own this IP legally? I do not see a specific body named that would own the IP.
Why has this gone to a proposal? It seems premature when we still do not know all the full details...
A few notes from reading these documents.
Master Service Agreement:
I see that all payments and recoupment thresholds are defined in USD terms. So depending on price of any tokens at the time of payment, the DAO may receive more or fewer number of tokens than it pays. Since the obligations are in USD, it may be prudent for the DAO treasury to adopt a stable-coin strategy to reduce risk of token valuation during the contract life cycle.. Particularly in light of the next note...
3.2 (e) "Shortfall Make-Good" : Is this essential? This clause effectively means the DAO is writing 48-hour PUT OPTIONS without compensation, on every single payment for 2 years. This adds a non-zero level of risk and operational burden if SMC determines they want to execute this clause every time there are fluctuations in token value.
Taxes. The DAO is acknowledging that it is responsible for its own taxes under the revenue sharing agreement. This agreement is under Delaware law. Is there risk that the agreement brings the DAO under US jursidiction for Tax? I don't know the answer, just asking the question in case the DAO needs independent tax advice?
IP Assignment:
The Client is prohibited from hiring or soliciting the Company's employees, agents, or contractors during the agreement and for three years after its termination.

AI recommends adding a cure period for the DAO to make right payments and a notice of default.
"Can we add a 'Grace Period' for Reversion?" If a payment is missed, can the DAO have 30 days to fix it before the IP reverts?
"What specifically is in Schedule 1?" Does it include the private GitHub repositories, the card art source files, and the database architecture?
"What happens to the IP if the Company goes bankrupt?" The DAO should ensure that the license back to the Company terminates if the Company is no longer able to operate.
Oh thats really interesting. SPS looks like a big ecosystem.
This is a strong proposal in principle — especially the full IP ownership and long-term development stability.
However, the payment structure is clearly too one-sided in favor of Steem Monsters Corp.
Key issues that should be addressed before final approval:
DAO must have control or co-control over accepted payment tokens
The “shortfall make-good” clause is unacceptable without a symmetrical upside
Token volatility risk is entirely on the DAO — this needs balancing
IP ownership should not be limited by approval rights from the company
Fix these, and this becomes one of the best moves in Splinterlands history.
